Pixelcoin Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Pixelcoin platform (the "Platform"), including any associated websites, applications, smart contracts, and services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Pixelcoin ("we," "us," or "our").

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that your use of the Platform does not violate any applicable law or regulation in your jurisdiction.

You are solely responsible for ensuring that your access to and use of the Platform complies with all laws, rules, and regulations applicable to you. The Platform is not available to users in jurisdictions where cryptocurrency transactions are prohibited.

3. Platform Description

Pixelcoin is a digital advertising grid built on the Solana blockchain. Users may acquire "pixs" (individual display slots) on the grid by paying USDC through the x402 payment protocol. Each pix allows the owner to display content including images, text, and links.

3.1 Pix Ownership

• Pixs are acquired by paying 1 USDC per pix via x402
• Ownership is permanent until the owner chooses to sell
• Pixs do not expire, decay, or get revoked
• Ownership transfers only through the marketplace

The Platform may cease operations at any time. On-chain ownership records persist independently, but Platform services including display and marketplace functionality are not guaranteed. No refunds will be issued if the Platform discontinues service.

3.2 Marketplace

Users may list pixs for resale on the Platform marketplace. All transactions are processed through x402 in USDC. A protocol fee is collected on each marketplace transaction.

3.3 $PXL Token

The $PXL token exists separately from pix ownership. Any token utility is subject to change. The token does not grant governance rights.

4. User Content and Conduct

4.1 User Responsibility

You are solely responsible for all content you upload, display, or otherwise make available through your pix(s) on the Platform ("User Content"). By uploading User Content, you represent and warrant that you have all necessary rights, licenses, and permissions to display such content and that it does not violate any third party's rights.

4.2 Prohibited Content

You agree NOT to upload, display, or link to content that:

1. Contains, depicts, or promotes child sexual abuse material (CSAM) or the exploitation of minors in any form
2. Contains nonconsensual intimate imagery of any person
3. Infringes on any copyright, trademark, or other intellectual property rights
4. Promotes or facilitates terrorism, violence, or illegal activities
5. Contains malware, phishing attempts, or malicious code
6. Impersonates another person or entity
7. Violates any applicable law or regulation
8. Contains material that is defamatory, fraudulent, or deceptive

4.3 Content Removal

We reserve the right, but have no obligation, to review, monitor, or remove User Content at our sole discretion. We may remove content that we believe violates these Terms or applicable law, or for any other reason. Removal of content does not entitle you to a refund of any payments made.

4.4 No Endorsement

The Platform displays User Content without endorsement. We do not verify, approve, or endorse any User Content. The views, opinions, and content displayed on pixs are solely those of the respective owners and do not reflect the views of Pixelcoin.

4.5 Reporting Content

Users may report content that they believe violates these Terms by contacting us at legal@pixelcoin.app. We will review reports and take action at our sole discretion.

5. Copyright and DMCA Policy

5.1 Copyright Infringement Claims

If you believe that content on the Platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent. Your notice must include:

1. A physical or electronic signature of the copyright owner or authorized agent
2. Identification of the copyrighted work claimed to be infringed
3. Identification of the material claimed to be infringing and its location on the Platform
4. Your contact information (address, telephone number, email)
5. A statement that you have a good faith belief that the use is not authorized
6. A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner

5.2 Designated Agent

6. Blockchain and Cryptocurrency Risks

You acknowledge and accept the following risks associated with using the Platform:

1. Blockchain transactions are irreversible. Once confirmed, transactions cannot be undone, reversed, or refunded.
2. You are solely responsible for the security of your wallet and private keys. We cannot recover lost or stolen funds.
3. The value of cryptocurrency, including USDC and $PXL tokens, may fluctuate. We make no guarantees regarding value.
4. Smart contracts may contain bugs or vulnerabilities. You use the Platform at your own risk.
5. Network congestion, forks, or other blockchain events may affect Platform functionality.
6. Regulatory changes may affect the legality or availability of the Platform in your jurisdiction.
7. We do not provide custody services. You maintain full control and responsibility for your assets.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no representations or warranties regarding the accuracy, reliability, or completeness of any content on the Platform, including User Content.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIXELCOIN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pixelcoin, its affiliates, and their respective directors, officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) your violation of any applicable law or regulation.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@pixelcoin.app and attempt to resolve any dispute informally for at least thirty (30) days.

10.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration shall be administered by JAMS in accordance with its rules. The arbitration shall be conducted in Albuquerque, New Mexico, unless you and we agree otherwise. The arbitrator's decision shall be final and binding.

10.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions.

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Pix ownership recorded on the blockchain remains unaffected by account termination, but we may remove associated content from display on the Platform.

12. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on the Platform with an updated "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Pixelcoin regarding your use of the Platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
